1. Terms of use

(a) These Terms and Conditions of Use (Terms) govern your use of the Sodashift Website, encompassing online shopping orders placed through the Sodashift Website.

(b) We reserve the right to modify these Terms at any time, without prior notice, and any changes will be communicated by displaying the amended Terms on the Sodashift Website. It is your responsibility to review the Terms every time you use the Sodashift Website.

(c) By accessing and utilising the Sodashift Website, you acknowledge that you have read and understood the Terms in effect at that time. Your use of the Sodashift Website confirms your acceptance of these Terms.

2. Key Terms

Our complete terms and conditions are detailed below, but it's crucial to be aware of the following key points before becoming a Sodashift customer:

• Product Availability: All products featured on the Site are subject to availability.
• Order Cancellation: We reserve the right to cancel any previously accepted order at any time before delivery and for any reason.
• Liability Limitation: Our liability under these terms is limited to the price paid by you for the products relevant to a claim, excluding consequential loss.
• No Liability for External Factors: We disclaim liability for loss of or damage to products, third-party products, personal injury, loss to any person, failure or delay in providing products, or a breach of the Terms or any law. This exclusion applies when such loss is caused or contributed to by events or circumstances beyond our reasonable control, or acts or omissions by you or your related parties.
• Terms Amendment: We retain the right to amend these Terms at any time by publishing updated terms on our Site.
• Australian Consumer Law: Nothing in these terms is intended to limit your rights under the Australian Consumer Law.

3. Sodashift Account Registration and Management

(a) To place orders on the Sodashift website, registration as a guest is mandatory. You have the option to register and create a Sodashift account for ordering. Upon creating a registered account, set a password, and use your email as a unique identifier for account access and Supplies purchase.

(b) For guest registration, provide full name, contact number, email address, and delivery address.

(c) Ensure all account details are current, accurate, and complete to facilitate seamless transactions. Do not share account registration details or permit unauthorised access. Promptly report any unauthorised use or security breaches to Sodashift.

(d) Account creation is possible through Social Media Accounts like Facebook. By signing in through a Social Media Account, you authorise access to specific information, as outlined in our Privacy Policy.

(e) Ensure accuracy and currency of personal information provided during account creation, treated in accordance with our Privacy Policy. Maintain confidentiality of account details, with accountability for all activities, including purchases made using the account.

4. Orders for Sodashift Supplies

(a) You can order Sodashift Supplies through the Sodashift website. Placing an order, including exchanging old CO2 cylinders or ordering a full Sodashift cylinder, constitutes an offer to enter into a purchase agreement. By making an order, you agree to be bound by the Terms.

(b) If some Supplies are out of stock or unavailable, we may be unable to fulfill all or part of your order. In such cases, we will contact you and provide options, such as a partial refund for impacted items or cancellation with a full refund. We reserve the right to accept or reject an order at our discretion. If rejected, we will notify you promptly. Acceptance forms a binding agreement between you and Sodashift.

(c) It is your responsibility to verify order details, including products, delivery information, and pricing, before submitting your order.

(d) Upon successful order and payment validation, an order confirmation email will be sent, containing details like order number, order ID, delivery and billing addresses, and a product description.

(e) Purchases are subject to product availability. Efforts are made to keep products in stock and update the Site accordingly.

(f) We may cancel an accepted order for reasons such as delayed dispatch, inability to supply ordered products, or Site errors. If such a situation arises, we will contact you using the provided details. By providing clarity on the ordering process, Sodashift aims to enhance customer understanding and satisfaction.

5. Cylinder Exchange Program

(a) Customers of Sodashift have the exclusive opportunity to exchange their used CO2 cylinders, even those from other brands, for a Sodashift cylinder. Our commitment to exceptional customer service is reflected in this unique offering; we will not at any time fill cylinders that are not from Sodashift. Non-Sodashift cylinders will be returned to their respective authorised retailers.

(b) When initiating an order for exchange, customers affirm their agreement for Sodashift to exchange their old CO2 cylinder for a Sodashift cylinder as specified in the placed order.

(c) Customers are required to leave their eligible CO2 cylinder out for collection during delivery. A prompt reminder, via text message or email, will be sent before the order arrives, ensuring customers remember to make their old CO2 cylinder available.

(d) Failure to leave the eligible old CO2 cylinder out for collection during delivery will result in the inability to complete the order. In such instances, Sodashift will initiate contact to arrange an alternative delivery time, exchange, or may, regretfully, cancel the order.

(e) By ordering a Sodashift cylinder, customers actively engage in our exchange program. Should you decide to discontinue participation, kindly reach out to us for the collection of our Sodashift cylinder/s. Alternatively, if a significant duration lapses between orders, we will proactively contact you to arrange the retrieval of our cylinder/s. Please note that Sodashift retains ownership of the cylinder at all times.

(f) Customers are requested to ensure that any Sodashift-branded cylinders returned as part of the exchange program are in good condition. Your cooperation in maintaining the quality of the exchanged cylinders is greatly appreciated by the Sodashift team.

6. Ownership, title and risk

(a) Title to the products remains with Sodashift until delivered to your nominated address. You are prohibited from actions that seek to create an encumbrance, lien, charge, or other interest in or over the products until title is transferred.

(b) Sodashift bears no responsibility for any theft or damage to the products after delivery.

(c) When collecting empty products from you, title reverts to Sodashift upon collection from your delivery address. For empty products delivered to us, title is transferred back to Sodashift upon arrival at our collection location.

(d) For products delivered to you, risk passes to you upon delivery to your specified address.

7. Price and Payments

(a) When placing an order for Sodashift products, you are obligated to pay the purchase price of each ordered product, along with applicable delivery costs (the Price), as outlined on the Sodashift Site. Payment of the price must be made upfront using one of the specified methods on the Sodashift Site.

(b) A tax invoice will be provided for each order you place.

(c) All prices on the website are in Australian Dollars (AUD) and inclusive of Goods and Services Tax (GST).

(d) Sodashift reserves the right to change the product prices without prior notice. Orders placed at a specific price will be fulfilled at that price, but Sodashift is not obligated to provide products at a previously advertised price.

(e) Sodashift reserves the right not to honour any incorrect offers or prices resulting from genuine human or system errors.

(f) You must not engage in fraudulent or unlawful means of payment. If paying by debit or credit card, you warrant that you are authorised to use the provided card.

(g) Sodashift may utilise third-party payment providers, such as Shopify. You acknowledge that Sodashift has no control over these providers, and additional terms and conditions may apply.

(h) Sodashift does not store credit card details. All payment information is collected and stored through the third-party payment processor.

(i) Sodashift may issue promotional discount codes for specific products. To claim the discount, enter the code during order submission. Conditions of use are outlined on the Site.

(j) Sodashift may run competitions on the Site or social media, subject to terms and conditions available on the Site during the competition period.

8. Delivery

(a) We aim to deliver to the specified address provided during the order process. Delivery areas are detailed on our Site, and you should refer to our delivery information to ensure your location is within our coverage. If you are outside our delivery area, please contact us to explore alternative delivery options.

(b) When ordering a product for delivery, you will select a delivery period as outlined on the Site. Booking for delivery periods closes one hour before the delivery run commences, based on information from the delivery company. Should you need to modify the delivery day, period, or address, kindly notify us in writing at least one hour before the delivery run commences.

9. Intellectual Property

(a) No license, right, title, or other interest in intellectual property of the Sodashift Platform is granted under these Terms. These Terms and content on the Sodashift Platform should not be construed as providing such consent.

(b) Except as expressly provided in these Terms, you must not copy, adapt, reproduce, publish, distribute, or otherwise deal with any Sodashift Platform content without prior written permission from us. This excludes actions permitted under the Copyright Act 1968 or other applicable laws.

(c) You are authorised to use Our Intellectual Property solely for your personal, non-commercial use, and in the intended manner. You must not use Our Intellectual Property for commercial purposes, including advertising your business, resale, or any revenue generation activity.

• Do not copy, in whole or in part, any of Our Intellectual Property.
• Do not reproduce, retransmit, distribute, sell, publish, broadcast, or circulate any of Our Intellectual Property to third parties.
• Do not breach any intellectual property rights connected with the Site or the products, including altering or modifying any of Our Intellectual Property.

(d) Social Media Usage: Nothing restricts your ability to publish, post, or repost Our Intellectual Property on your social media or blog, provided you comply with specified conditions, such as not asserting ownership or endorsement by Sodashift and not damaging our reputation. Compliance with all other terms of these Terms is required.

10. Australian Consumer Law

(a) Nothing in these Terms seeks to modify or exclude the conditions, warranties, undertakings, and other legal rights under the Australian Consumer Law. In Australia, guarantees accompany our goods that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. If the goods fail to be of acceptable quality and the failure doesn't amount to a major failure, you are entitled to have the goods repaired or replaced. Any warranties or conditions not guaranteed by the Australian Consumer Law are expressly excluded where permitted, except to the extent they are fully expressed in these Terms.

(b) If you return products to seek an Australian Consumer Law remedy, you will be responsible for associated costs, such as delivery costs for returning the products to us.

(c) In cases of valid claims under the Australian Consumer Law, we will refund your return delivery costs and, depending on the failure, dispatch a new or repaired replacement product or refund you the price of the relevant product. Contact us for further information. You retain rights under the Australian Consumer Law, and nothing in this clause attempts to modify or exclude those rights.

(d) Our maximum aggregate liability arising from or in connection with the Terms, including the products, is limited to and must not exceed the portion of the price paid by you to us for the products subject to the relevant claim. We are not liable for any consequential losses, including loss of profit, benefit, revenue, business, goodwill, opportunity, savings, reputation, use, or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity, or otherwise.

(e) To the maximum extent permitted by law, we are not liable for events or circumstances beyond our reasonable control, including acts of God, natural disasters, civil unrest, terrorism, government actions, pandemics, or epidemics.

(f) To the maximum extent permitted by law, we have no liability, and you release us from liability, for: (1) loss of, or damage to, the products or any third-party products; (2) failure or delay in providing the products; or (3) breach of the Terms or any law, caused or contributed to by events beyond our control or acts or omissions of you or your related parties.

11. Dispute Resolution & Notices

Neither party may commence court proceedings related to any dispute arising from or in connection with these Terms without first attempting to resolve the dispute in good faith. Urgent interlocutory relief and disputes related to clause compliance are exceptions. Any notice under these Terms must be in writing and addressed to Sodashift at the provided details or to you at the details submitted with your order or in your account. Notices may be sent via standard post or email, deemed served 48 hours after post or at the time of email transmission.

12. Feedback and Complaints

We welcome feedback and complaints to enhance our services. Notify us of any concerns, and we will take reasonable steps to address them.

13. General

(a) You may not assign any rights or obligations under these Terms without our prior written consent.

(b) These Terms constitute the entire understanding and agreement between you and Sodashift regarding their subject matter.

(c) Amendment: We reserve the right to vary these Terms at our discretion by publishing updated terms on the Site. The terms in effect when you place an order will apply to that order.

(d) Governing Law: These Terms are governed by the laws of Victoria. Both parties submit to the exclusive jurisdiction of the Victorian courts, waiving objections to proceedings brought in those courts. If accessed outside Australia, compliance with local laws is your responsibility.

(e) Third-Party Sites: The Site may include links to third-party websites. We do not control, endorse, or approve the content on these sites. It is recommended to investigate their suitability. Goods or services from linked third-party websites are provided by them, not Sodashift.
